TERMS OF SERVICE
1. Introduction
Welcome to Shiftlead ("we", "us", or "our"). We provide a digital platform (the "Platform") to connect independent service providers with service requesters, and we do so under the following terms and conditions ("Terms of Service").
By accessing or using our Platform, you agree to these Terms of Service and our Privacy Policy.
2. Geographic Specificity
These Terms of Service will be governed by the laws of the Province of Ontario, Canada, regardless of the Platform being accessible across Canada.
3. Your Use of the Platform
You must be at least 18 years of age to use our Platform. You are responsible for all activity that occurs under your account, including any activity by unauthorized users. You must not allow others to use your account. You must safeguard the confidentiality of your password.
As an independent contractor using our platform, you agree to adhere to all applicable laws and regulations, maintain a high quality of work, and be responsible for your own tax obligations.
4. Our Role and Your Responsibilities
Shiftlead is a facilitator connecting independent contractors (gig workers) with clients. We do not employ the workers and are not responsible for the actions of either gig workers or clients. You understand and agree that your relationship with Shiftlead is limited to being an independent contractor and not an employee, agent, or partner of Shiftlead for any reason.
5. Your Content
You grant to us a worldwide, royalty-free license to use, reproduce, distribute, modify, adapt, create derivative works, and publicly display your content. This license continues even if you stop using our Platform.
Your content may include:
- Your user profile image
- Your in platform messages
- Images from platform based events that you may have worked and/or attended, and that have been uploaded to our platform.
6. Our Content
We reserve all rights in and to the Platform. You agree not to copy, distribute, modify or make derivative works of any of our content or use any of our intellectual property rights in any way not expressly stated in these terms.
7. Payment and Compensation
You agree to adhere to the payment procedures and compensation structures as outlined on the platform. Specific terms related to refunds, cancellations, and dispute resolution are further outlined in our Refund and Cancellation Policy.
8. Privacy and Data Handling
You agree to the collection, use, and disclosure of your information in accordance with our Privacy Policy.
9. Intellectual Property
Unless otherwise agreed upon in a separate agreement, the ownership rights of the intellectual property arising from the services provided through the platform shall be defined as per the respective project agreement.
10. Termination
We may suspend or terminate your account and your access to the Platform, at our discretion, in case of violation of these Terms of Service or any applicable laws.
11. Dispute Resolution
In the event of a dispute, you agree to try to resolve the dispute by negotiation with us before resorting to legal proceedings. We may provide a mechanism for resolving disputes arising under these Terms of Service, but are under no obligation to do so.
12. Changes to These Terms
We may change these terms at any time, and we'll notify you when we do. Using Shiftlead after the changes become effective means you agree to the new terms.
